1. About these Terms

These Terms & Conditions govern your use of the Cognival website, waitlist, launch communications, product information, Lock In preorders, Cognival Day 1s membership and any related products or services made available through cognival.co.uk.

By using the website, joining the waitlist, submitting an inquiry or placing an order, you agree to the applicable parts of these Terms.

2. Company information

The website is operated by Cognival LTD, a private limited company registered in England and Wales under company number 16782883.

3. Website use

You must use the website lawfully and responsibly. You must not misuse the website, interfere with its operation, attempt unauthorised access, scrape or copy content at scale, introduce malware, bypass security features, or use the website in a way that damages Cognival, its users, or its services.

4. Waitlist and launch access

Waitlist registration gives you access to Cognival launch communications and may provide priority information about limited releases, early access, product updates, and availability.

Waitlist registration does not guarantee product availability, allocation, price, delivery date, or purchase eligibility. Limited releases may be subject to quantity limits, location restrictions, eligibility checks, payment confirmation, and operational availability.

5. Product information and suitability notice

Cognival product information is provided for general consumer information. Always read the approved product label, warnings, ingredients, directions, and recommended intake before use.

Cognival products are intended to complement, not replace, a varied, balanced diet and healthy lifestyle. They are not intended to diagnose, treat, cure, or prevent disease. If you are pregnant, breastfeeding, taking medication, have a medical condition, or are unsure whether a product is suitable for you, seek advice from a qualified healthcare professional before use.

Product images, packaging, ingredient information, and availability may vary as products move through launch, manufacturing, regulatory review, and fulfilment processes.

6. Orders, preorders, pricing, and payment

Prices include VAT where applicable. Delivery charges, accepted payment methods, currency and the complete amount payable are shown before you place an order. Website prices shown in pounds are United Kingdom reference prices. Stripe Checkout selects one supported currency from the checkout location: GBP for the United Kingdom, EUR for euro countries and RON for Romania. Localised product and delivery amounts may be rounded and can differ from a direct exchange-rate conversion. The final action in Stripe clearly confirms the currency and total and that the transaction creates an obligation to pay.

A contract is formed when your payment is accepted and we issue an order or payment confirmation. We may refuse, cancel, or limit a transaction before acceptance where there is a payment failure, suspected fraud, incorrect pricing, delivery restriction, regulatory issue, or another legitimate operational reason. If we cancel after taking payment, we will refund the amount paid for the cancelled transaction.

A preorder is an advance purchase of goods that are still being manufactured, prepared, packaged, or made ready for launch.

Lock In is offered at a £39.99 first-batch preorder price. The displayed planned public price of £49.99 is our intended price after the preorder window; Cognival may lawfully change future prices and does not guarantee that later stock will remain available.

7. Cognival Day 1s membership

Cognival Day 1s is a one-time £79 founding membership limited to the first 100 accepted, paid memberships, plus the delivery charge shown before payment for the included T-shirt. Checkout may instead display the fixed EUR or RON price selected for the customer’s location under section 6.

A completed payment records the original purchaser as the verified Day 1s member. Membership is verified through the paid order and checkout email and is personal to that original purchaser.

A limited-edition T-shirt is included with membership at no separate product charge. After payment, Cognival will send a measurement guide and secure size selector to the checkout email. Size availability, minor colour variation, print placement, measurements and production details may vary within reasonable manufacturing tolerances. If a requested size becomes unavailable before fulfilment, we will contact you to agree an available size, cancellation or another lawful resolution.

Delivery of the included T-shirt is currently supported to the United Kingdom and the European Union. The applicable delivery charge is shown before checkout.

Day 1s benefits

Subject to these Terms, a verified original member receives: (a) a personal 20% discount on Lock In purchases for the three-month period beginning on the public Lock In launch date; (b) early access to selected future Cognival product releases; and (c) priority consideration for selected Cognival gatherings and events.

The discount excludes delivery charges, cannot be combined with another promotion unless Cognival expressly states otherwise, has no cash value and may be subject to reasonable per-customer purchase limits. Event access depends on availability, capacity, location, age restrictions, event-specific rules and lawful operation. Priority invitation is not a guarantee that every purchaser can attend every event. Future early-access opportunities apply to selected launches identified by Cognival.

We will send benefit access, codes and invitations to the checkout email. You are responsible for keeping access information private and telling us if that email changes.

8. Preorder and Day 1s fulfilment periods

By placing a Lock In preorder, you acknowledge that the product is not expected to be supplied immediately. Its current expected dispatch date is 30 September 2026. We expect to supply or dispatch Lock In within one to four months from payment acceptance, with a final contractual deadline four calendar months after that date unless you and Cognival expressly agree a different date in writing.

The included Day 1s T-shirt is expected to be dispatched within 30 days after you confirm an available size through the secure selector. That 30-day period is the agreed dispatch deadline unless you and Cognival expressly agree a different date in writing after the transaction.

We may provide progress updates or an earlier estimate. Those updates do not extend the applicable agreed deadline unless you expressly agree to a revised date. Stripe collects the Lock In and Day 1s delivery address during checkout. Cognival may contact you only when an address correction or additional fulfilment detail is reasonably required; the requested Day 1s T-shirt size is collected separately after payment. You must provide complete and accurate contact, address and size information. Cognival will not request full payment-card details through a delivery form.

Any delay caused solely by your failure to provide accurate or complete delivery details after a reasonable request will not count as a failure by Cognival while we are reasonably waiting for the information. This does not allow Cognival to avoid responsibility for delays it caused.

9. Non-delivery by the applicable deadline

If we have not supplied or dispatched Lock In by its four-month contractual deadline, or the included Day 1s T-shirt by its applicable 30-day contractual deadline, you may contact business@cognival.co.uk and request the cancellation, refund or other remedy available under the contract and applicable law.

Where you cancel under this section, we will refund all amounts paid for the affected undelivered transaction, including any standard delivery charge paid to us for those goods. The refund will be made without undue delay and, in any event, within 14 days after we confirm that the cancellation and refund are due. Refunds will normally be made to the original payment method unless you expressly agree otherwise.

You may instead choose to keep the transaction open and agree a revised fulfilment date with us. Choosing to wait does not remove any mandatory rights you may have under applicable consumer law.

Nothing in these Terms restricts any right you may have to cancel earlier where delivery by a particular date was essential, where we refuse to deliver, or where applicable consumer law gives you an earlier remedy.

10. Distance-selling cancellation, returns, and faulty goods

Your statutory consumer rights are not affected. Where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply, you will normally have the right to cancel an online order for goods from the time the contract is formed until 14 days after the goods are delivered, subject to the legal exceptions.

If you validly cancel, refunds will be handled in accordance with applicable law. For hygiene, safety, and product-integrity reasons, sealed goods that are not suitable for return for health-protection or hygiene reasons may lose the cancellation right once unsealed. This does not affect your rights where goods are faulty, damaged, misdescribed, or otherwise not in conformity with the contract.

If a product arrives damaged, incorrect, faulty, or not as described, contact us promptly at business@cognival.co.uk with your order details and supporting information.

Unless Cognival agrees otherwise or the goods are faulty, you are responsible for the direct cost of returning cancelled goods. You must send them back within 14 days after telling us that you are cancelling. We may withhold reimbursement until we receive the goods or you provide evidence that they were sent back.

To exercise a cancellation right, email business@cognival.co.uk with your name, payment reference, the goods concerned and a clear statement that you wish to cancel. No account is required. We will acknowledge the request and provide return instructions where applicable.

11. Intellectual property

All Cognival names, logos, branding, product visuals, packaging designs, copy, graphics, photography, code, layouts, and other website materials are owned by or licensed to Cognival LTD unless stated otherwise.

You may not reproduce, modify, distribute, publish, sell, or commercially use Cognival materials without written permission.

12. User submissions and communications

If you submit messages, feedback, ideas, or other content to Cognival, you confirm that you have the right to send it and that it does not infringe another person’s rights. We may use feedback to improve our products, website, and customer experience.

We may use proportionate security controls, automated spam signals and Cloudflare Turnstile to protect the contact form. Messages that appear automated, duplicated, abusive or unrelated may be held for review, rejected or deleted. This does not prevent a genuine customer from contacting us directly by email.

13. Third-party links and research references

The website may include links to third-party websites, platforms, studies, payment providers, delivery providers, or services. These are provided for convenience and information. We are not responsible for third-party content, policies, availability, or practices.

14. Website availability

We aim to keep the website secure and available, but access may be interrupted for maintenance, updates, security, hosting issues, or events outside our reasonable control. We do not guarantee that the website will always be available or error-free.

15. Liability

Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or your statutory consumer rights.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or business losses arising from use of the website, waitlist, product information, or reliance on website content.

16. Changes to these Terms

We may update these Terms from time to time. The latest version will be posted on this page and will apply from the date shown, unless otherwise stated.

17. Governing law

These Terms are governed by the laws of England and Wales. If you are a consumer living elsewhere in the United Kingdom or the European Union, you may also have mandatory rights under local consumer law.
